Jim Spencer - President & CEO
Mr. Spencer has over twenty years of experience in the power industry managing the development and financing of energy projects in developed and underdeveloped countries. Mr. Spencer founded EverPower in 2002 to pursue renewable energy development. Prior to 2002, he served as an advisor to Renewable Energy Systems Limited (RES) and was instrumental in establishing RES's Asia Pacific presence in NSW Australia. He also served as a director of RES Asia Pacific from its inception until 2004, when he resigned to devote 100% of his efforts to EverPower. Mr. Spencer spent ten years at Sithe Energies, Inc., including four years as President of Sithe Asia Holdings Limited, and was responsible for the business development and project finance activities of Sithe throughout the Asia Pacific Region. He successfully implemented Sithe's business model in Asia, helping it to gain a reputation as one of the most successful energy developers and financiers in the Region. Achievements at Sithe included the 600 megawatt Wenzhou and Paqi Plants in the Zhejiang and Hebei Provinces in China which were purchased by China Energy Resources and formed the cornerstone of that company's successful IPO in 2003. The second largest water management and hydroelectric project ever implemented in Asia, the $1.2 billion, 340 MW San Roque Hydroelectric project in the Philippines, was constructed under Mr. Spencer's supervision. In 1990, as senior vice president of development for Sithe, Mr. Spencer had primary responsibility for the public financing of the $773 million, 1,000 MW Independence project in New York. The first construction project of its type to be financed with public bonds, Independence would signal a sea change in the way that independent power projects would be financed. Mr. Spencer began his career in 1985 as an attorney in the energy project finance group at Chadbourne & Parke LLP. In 1989, he was recruited to the Prudential Capital Corporation where he served as vice president of corporate finance in the Utilities & Finance Group. Mr. Spencer was involved in energy-related financings representing more than $6 billion. Mr. Spencer holds a Bachelor of Arts degree from Duquesne University and studied at the University of Toronto. He received a law degree from the University of Pittsburgh School of Law. |

Andrew Golembeski - Executive Vice President & COO
Mr. Golembeski has spent more than twenty years in the power industry in both traditional and renewable energy companies. He serves as EverPower's chief operating officer responsible for construction and operation activities. From 2003-2008, he was responsible for overall project development at EverPower. Mr. Golembeski's power experience encompasses wind, hydroelectric, combustion turbine combined cycle, reciprocating engines, solar and coal. He has designed power plants, managed the permitting process, procured equipment and negotiated virtually every type of project contract. Mr. Golembeski's renewable energy experience also includes the management of a solar manufacturing facility and as the Asset Manager of hydroelectric facilities. From 1991-2002, Mr. Golembeski was a Vice President of Sithe Energies, Inc., one of the largest independent power producers in the United States. He served in the New York, Beijing and London offices and developed power projects in the United States, Canada, Europe, Asia and Africa. Mr. Golembeski received a Masters of Business Administration in Finance from New York University. He holds a Bachelor of Engineering degree from New York Maritime College and is a licensed Merchant Marine Engineer. |

Charles H. Williams - Chief Financial Officer
Mr. Williams is currently Chief Financial Officer of Everpower Wind Holdings. He has over 25 years of financial management experience and a diverse history with domestic and international companies both large and small, including nearly 10 years with high-growth energy and related technology firms. Most recently, Mr. Williams served as Chief Financial Officer at Firefly Energy, an advanced battery technology company. Prior thereto, Mr. Williams was Chief Financial Officer and an Executive Director of Clipper Windpower Plc, a utility-scale wind turbine manufacturer and project development company listed on the AIM market of the London Stock Exchange and based in California. Mr. Williams previously held a variety of key financial positions in the US, Europe and Asia, including five years as Senior Vice President and Chief Financial Officer of Sithe Asia Holdings, a pan-Asian independent power producer based in Hong Kong. Sithe Asia completed construction and acquired through acquisition nearly 2,000 gross megawatts of power plants in China, Korea, Thailand and the Philippines during his tenure. Prior to that, Mr. Williams held financial leadership positions with Pharmacia & Upjohn, Inc., a Fortune 250 drug company (now part of Pfizer Inc.), based in London and the U.S. Mr. Williams started his career as an auditor with Peat, Marwick, Mitchell & Co. (now KPMG). Mr. Williams holds a Master of Science degree from Imperial College London and a Master of Business Administration degree from Western Michigan University. He is a licensed CPA. |

George Henderson - Chief Commercial Officer
Mr. Henderson has 15 years experience in competitive power markets. He serves as EverPower’s Chief Commercial Officer responsible for market- related activities including all front, middle and back office functions. Additionally, Mr. Henderson will handle the marketing of energy and renewable credits, contract negotiations, ISO relations, energy operations, settlements, regulatory matters and energy risk management. Mr. Henderson joined EverPower from PSEG Energy Resources & Trade LLC where he most recently served as Managing Director of Energy Marketing and Origination. In that capacity, he was responsible for all marketing and origination activities associated with PSEG Power’s 15,000 MW generation portfolios in PJM, New York, New England and ERCOT. Prior to PSEG, Mr. Henderson was responsible for physical energy trading and fuel supply for the PSEG Power merchant generation business. Mr. Henderson also served as Vice President Energy Sales and Origination at Lehman Brothers Commodity Services in New York. Prior to his activities in the unregulated power markets, Mr. Henderson served in various international oil trading roles for Sun Oil Trading Company and Delphi Petroleum. Mr. Henderson received a Master of Science degree from the Northwestern University Transportation Center, a Bachelor of Science in Marine Transportation from the United States Merchant Marine Academy, Kings Point, NY and attended the Harvard Business School Program for Management Development. |

Christopher Shears - Senior Vice President, Development
Mr. Shears has over fifteen years of experience in the wind and renewable energy fields. He has overall responsibility for the growth of EverPower's project pipeline across the United States and the timely delivery of projects for financing. Before joining EverPower in 2008, Mr. Shears worked in the UK for Renewable Energy Systems Ltd (RES), a leading international wind energy company. Following project management roles on more than a dozen wind farms across the UK in the mid to late 1990s, he moved to the position of New Markets Manager identifying and reviewing a range of international opportunities for RES. This led to the formation of RES Australia through the establishment of both a Greenfield project portfolio and a joint venture with a local partner. In 2002, Mr. Shears was appointed as GB Business Development Manager responsible for RES wind strategy and building the Company's UK project portfolio to in excess of 1,000 MWs across 25 projects. From 2004 until he joined EverPower, he was Development Director of RES overseeing all projects across England and Wales. In addition to his RES activities, Mr. Shears was a major contributor to the work of the British Wind Energy Association (BWEA) over many years. He broke down barriers to wind energy deployment and lobbied for effective policy instruments. Mr. Shears was Chairman of BWEA from 2005-2007, overseeing submissions to the UK Energy Review which cemented strong government backing for onshore and offshore wind. Mr. Shears earned a Bachelor of Science degree from Imperial College, London. |

Carol Strickland - Corporate Secretary & Chief Administrative Officer
Ms. Strickland has broad experience in board processes and development, corporate governance matters, strategic philanthropy and executive staff activities. After working as a governance consultant to EverPower, she joined the Company in 2008 and is responsible for corporate governance-related matters, stock option administration, corporate policies and practices, and other Board of Directors matters. Prior to joining EverPower, Ms. Strickland was the corporate secretary and chief of staff at U.S.Trust Corporation where she was responsible for all Board- related matters and managing the agenda for the firm’s Management Committee and other senior leadership team meetings. In addition, she managed the U.S.Trust Corporation Foundation and the Special Services area which included events, conferences, travel and promotional items. Prior to the acquisition of U.S.Trust by The Charles Schwab Corporation , Ms. Strickland was also responsible for shareholder relations and stock option administration. She retired from U.S.Trust in 2007 after serving as corporate secretary for over 25 years. Ms. Strickland has a Bachelor of Arts degree from Skidmore College and a Masters in Public Administration from New York University. She is a former Chairman of the Society of Corporate Secretaries and Governance Professionals and also served as the President of the New York Chapter of the Society. Ms. Strickland was named a YMCA Woman Achiever in 1997 and serves as Trustee Emeritus of Greenwich House. |

David Berthelsen - Director, Construction
Mr. Berthelsen has over twenty-eight years in the construction industry including the institutional, commercial, industrial construction and renewable energy markets. During this time, he has held positions in construction accounting, estimating, project management, subcontractor/contractor negotiations, business development and division management. He also was involved on the ground floor in the development of a new business line. Mr. Berthelsen spent 25 years at Ragnar Benson, Inc. in a variety of management positions. After a brief period at Brayman Construction Corporation, he joined The Shaw Group in 2006 and was responsible for Shaw's entire environmental infrastructure commercial construction projects in the Central and Southwest United States. In 2007, he was named Project Director for Shaw's EPC BOP Wind Energy with the responsibility for the execution of wind energy projects. He remained in this position until he joined EverPower in 2008. Mr. Berthelsen holds a Bachelor of Science degree from Duquesne University. |

David McClain - Senior Director, Pacific Northwest Development
Mr. McClain has spent more than thirty years in the power industry working on the development of both traditional fossil fuel and renewable energy projects. His experience encompasses wind, geothermal, biomass, gas combustion turbine, combined cycle, solar and coal power plant development. Mr. McClain has managed the permitting process, procured equipment and overseen engineering and construction on several wind and geothermal power projects. Mr. McClain joined EverPower in 2007 and is responsible for all aspects of the project development process in the Pacific Northwest. He is a founding member of the Renewable Northwest Project and also serves on several federal and state advisory committees regarding environmental policy and renewable energy development. Mr. McClain began his career at Morrison Knudsen Power Group where he worked on several wind geothermal, solar, biomass and MSW pilot demonstration projects. From 1985-1996, he was manager of project development at California Energy Company where he was responsible for the development of the 270 M W Coso Geothermal Project and involved in the planning, development and acquisition of over 500 MW of additional geothermal projects. Mr. McClain left California Energy to work as an independent energy development consultant from 1996-2007 with MidAmerican Energy Holdings Company on renewable energy projects in the United States and Asia. He also worked as a renewable energy advisor for several independent Native American Tribal organizations during this period. Mr. McClain holds a Bachelor of Science degree in Geology from the University of Oregon and a Masters degree in Natural Resource Planning & Management from the University of Idaho. |

Kevin Sheen - Senior Director, Development
Mr. Sheen has over seven years of experience in the renewable energy field managing the development of both solar and wind projects. Since joining EverPower in 2002, he has been involved in the creation of the Company’s website and marketing materials, community outreach events and the development of wind power projects throughout the United States. Currently , he is the senior director for Northeast Development. Prior to joining Everpower, Mr. Sheen was the Director of Marketing at TerraSolar and also was a Senior Marketing Manager at American Express and a District Sales Manager at AirFrance. In all positions, he achieved increased sales through the creation of marketing materials, targeted business partnerships with local companies, charities and civic organizations and effective corporate web site design. Mr. Sheen holds a Bachelor of Arts degree from Indiana University and a Masters of Public Administration from the School of Public Policy and Management at Ohio State University. |
